Red Hat Commercial Attorney in Raleigh, North Carolina

Red Hat is looking for a talented attorney to join our Commercial Legal team based in Raleigh, NC. In this role, you'll counsel and support Red Hat sales and procurement teams in structuring and closing deals, defining legal strategies, and addressing contractual issues, with a focus on achieving business results and customer success. You’ll work on a variety of agreements with end customers, partners, and vendors and interact with management and key business clients. You’ll assess legal, compliance, and business risks and apply commercial legal principles to practical business relationships (often under tight timelines), and maintain a solid understanding of Red Hat’s product offerings. What you will do

  • Draft, review, and negotiate software subscription agreements, professional services agreements, complex order forms, vendor agreements, statements of work, commercial real estate leases, and partner agreements for resellers, distributors, systems integrators, independent software vendors (ISVs), and cloud providers

  • Issue spot and collaborate with stakeholders, including sales, procurement, business units, finance, and operations teams, to resolve contractual issues

  • Educate customers about open source development, licensing, and contracting, including Red Hat’s subscription business model

  • Serve as legal advisor and first-line support to regional sales organization for all other legal and compliance issues, and advise regional sales management regarding key issues

  • Participate in compliance initiatives, including training internal clients on contracting policies, code of business conduct and ethics, and other legal issues

What you will bring

  • J.D. and license to practice law in any U.S. state

  • 2+ years experience reviewing, drafting, and negotiating commercial contracts or complex corporate transactional agreements in a leading law firm and/or in-house supporting software and technology services; experience with open source is a big plus

  • Excellent communication and writing skills, analytical abilities, and attention to detail

  • Enthusiasm for technology, software, intellectual property, and/or open source

  • Ability to work with minimal supervision, meet demanding deadlines in a fast-paced environment, and demonstrate sound judgment even in ambiguous situations

  • Positive, can-do attitude and sense of humor

The salary range for this position is $94,010.00 - $150,410.00. Actual offer will be based on your qualifications.

Pay Transparency

Red Hat determines compensation based on several factors including but not limited to job location, experience, applicable skills and training, external market value, and internal pay equity. Annual salary is one component of Red Hat’s compensation package. This position may also be eligible for bonus, commission, and/or equity. For positions with Remote-US locations, the actual salary range for the position may differ based on location but will be commensurate with job duties and relevant work experience.
