ESSENTIAL DUTIES AND RESPONSIBILITIES

  • Manage activities and documents for annual corporate governance compliance of 50+ global corporate subsidiaries in Asia Pacific, Europe, Middle East, Canada, Latin America

  • Manage vendor of corporate subsidiary services to track annual compliance requirements, prepare documents, interact with senior executives to complete documents and signatures.

  • Interact with multiple functions, Tax, Finance, Commercial Sales, Audit, etc., to gather information, prepare documents and coordinate filings.

  • Draft board and shareholder resolutions, meeting minutes, correspondence

  • Schedule board and executive meetings

  • Manage Delegation of Authority files, Director authorizations

  • Maintain and update corporate subsidiary database, Teams, Sharepoint and excel files.

  • Maintain and update internal websites, corporate letterheads.

  • Process invoices and track budgets with outside counsel; interact with Procurement and Accounts Payable

  • Support Legal operations for International Legal Team: contract approvals, CLM uploads, template management.

MINIMUM QUALIFICATIONS

  • Education: college/university 4year degree or paralegal degree

  • Type and Number Years of Experience: minimum 5 years in a law firm or corporate law department setting with experience in corporate secretarial activities, corporate compliance.

  • Language skills: English fluent (written and verbal)

  • Computer Skills: Proficient in MS Office suite (Word, Excel, PowerPoint, Outlook, Teams). Oracle and database management skills preferred.

  • Other Skills: Excellent communication and organizational skills. Able to understand, prioritize and track daily and long-term tasks; understand annual corporate compliance activities; pro-active efforts to problem-solve and communicate with colleagues; team player, able to work across global organization in high energy and fast paced environment; work independently and proactively handle issues and engage colleagues; eager to learn and apply new information, skills and procedures; must be adaptable to a changing environment and business objectives.

  • Working hours: generally, 9am-5pm EST, 5days with 3 days (Tuesday, Wednesday, Thursday) in Integra’s Princeton office; some flexibility to attend calls to accommodate International time-zones.
