UL, LLC Corporate Counsel in Chicago, Illinois

UL Solutions is looking for a practical, experienced, and well-rounded Corporate Counsel to serve as the primary legal partner responsible for supporting technology transactions and providing privacy and cybersecurity support to the company.

The successful applicant will report to the Associate General Counsel (or similar) in Northbrook, Illinois. However, we are flexible as to which UL Solutions office you work from (Chicago, Austin, Raleigh).

  • Reviewing, drafting and negotiating services and consulting agreements, software licenses, and SaaS agreements in support of UL Solutions product and service offerings.

  • Reviewing and negotiating supplier/vendor information technology agreements, including software licenses, consulting services, and SaaS agreements.

  • Developing template terms and conditions for UL Solutions software platforms, sales and license agreements, API agreements, reseller agreements, and partner agreements, with a particular focus on SaaS and other cloud-based applications.

  • Work closely with sales support teams to help achieve their business objectives while mitigating associated legal risks.

  • Collaborating with operations and product development teams to review new product and service offerings in order to identify and mitigate legal risks associated with such offerings.

  • Advising procurement and functional support teams, including IT, in connection with proposed purchases or licensing of information technology related products or services.

  • Providing legal support to UL Solutions data privacy and cybersecurity teams.

  • Maintaining knowledge of developments in global, federal and state laws and regulations concerning data privacy, cybersecurity and artificial intelligence.

  • Work independently and manage negotiations with minimal supervision while seeking advice from senior attorneys and subject matter experts as appropriate

  • BA/BS and JD degrees and state bar admission.

  • A minimum of three (3) years of experience with a law firm providing services for technology clients, or relevant in-house experience with companies in the technology industry, or both.

  • Extensive experience in technology contracts, with a focus on cloud-based services and software licensing agreements, as well as information security agreements required.

  • Experience with data protection and data security agreements and privacy laws and regulations, including GDPR, CPRA, and various state laws. IAPP credentials are a plus.

  • Experience supporting senior business leaders.

  • Ability to write clearly and prepare professional communications.

  • You have experience working with minimal supervision, with the ability to multi-task, assess business and legal risk in a focused and efficient manner, and prioritize workload efficiently and effectively.

  • Excellent interpersonal and communication skills.

  • Good sense of humor.
