Join Our Team as an Assistant Vice President - Corporate Counsel

We are seeking a dedicated Assistant Vice President - Corporate Counsel to join our dynamic team. This role is integral to advising on corporate transactional, real estate, securities, and corporate governance matters. The successful candidate will collaborate with multi-disciplinary teams, including Development, Accounting, Finance, Investor Relations, Sustainability, and Human Resources, to support real estate transactions, ensure compliance with securities laws, and provide general corporate legal advice as a key member of the company’s in-house legal team.

Key Responsibilities:

  • Draft and negotiate purchase and sale, escrow, and related documents in connection with the Company’s acquisition and disposition of land, single family homes, and residential subdivisions.

  • Review and advise with respect to real estate due diligence matters, including title reports, covenants, conditions, and restrictions (“CC&Rs”), ALTA surveys, plats, easements, and development agreements.

  • Negotiate and administer real estate finance transactions, including land banking, joint venture, and loan agreements relating to the Company’s real estate assets and development activities.

  • Review annual and quarterly Securities and Exchange Commission (“SEC”) filings prepared by the financial reporting team. Draft and review other SEC filings, including the proxy statement and Forms 8-K.

  • Assist with corporate governance policies and matters, including preparation of board materials and minutes, ensuring compliance with Board and Committee policies and charter documents, and subsidiary management.

  • Administer the company's Insider Trading Policy, including Section 16 reporting and insider trading compliance matters.

  • Support capital markets transactions including debt and equity offerings and related registration statements and prospectuses.

  • Advise on sustainability and environmental, social, and governance (“ESG”) related matters, including compliance with SEC climate change disclosure requirements.

    Requirements:

  • Juris Doctorate from an accredited law school

  • At least three years of experience at law firms and/or public companies as an in-house attorney

  • Active membership in good standing with the State Bar of California and/or Nevada or eligible to serve as registered in-house counsel

  • Strong preference for initial experience with a top-tier national law firm

  • Preference for experience with real estate investment trusts (“REITs”)

  • Highly organized with the capacity to work both independently and in cross-functional teams and to manage internal and external stakeholders

  • Collaborative interaction with others, including senior management, other members of the legal department, and team members across the company

  • Excellent written, verbal, and interpersonal communication skills, attention to detail, and the ability to handle multiple projects at one time

  • Intellectual curiosity and drive to learn new areas of law quickly

  • A proactive approach to recognizing needs, anticipating issues, and following through to solve problem

  • Willingness to travel as needed

  • PC skills

In the states of Colorado, California, Washington, and Illinois; the anticipated pay range/scale for this position is $137,273.00 to $196,292.00. Actual starting base pay within this range will depend on factors including geographic location, education, training, skills, and relevant experience.

  • Position is also eligible to receive a discretionary bonus.

Employees also have the opportunity to participate in medical, dental and vision insurance; flexible spending accounts and/or health savings accounts; dependent savings accounts; 401(k) with company matching contributions; employee stock purchase plan; and, a tuition reimbursement program. The Company provides 9 paid holidays per year and, upon hire, new employees will accrue paid time off (PTO) at a rate of 0.0577 hours of PTO per hour worked, up to a maximum of 120 hours per year.
